Liability, Limitations & Force Majeure

These Liability, Limitations & Force Majeure Terms apply to all works, services, quotations, and contracts provided by Danlec Electrical Solutions Ltd (โ€œDanlecโ€, โ€œweโ€, โ€œusโ€, โ€œourโ€).


1. Limitation of Liability

1.1 Danlec shall not be liable for any loss or damage except to the extent caused by our proven negligence or breach of contract.

1.2 Subject to clause 1.3, Danlec shall not be liable for:

  • Loss of profit
  • Loss of business or revenue
  • Loss of data
  • Loss of anticipated savings
  • Indirect, incidental, or consequential losses

1.3 Nothing in these terms limits or excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any matter which cannot legally be excluded under applicable law

2. Financial Liability Cap

2.1 Subject to clause 1.3, Danlecโ€™s total liability arising from any contract, whether in contract, tort (including negligence), or otherwise, shall be limited to the total value of the works quoted and paid for under that contract.

2.2 Where works are carried out in stages, liability shall be limited to the value of the relevant stage of works.


3. Third-Party Products & Manufacturer Equipment

3.1 Danlec shall not be liable for defects, failures, or performance issues relating to:

  • Manufacturer-supplied equipment
  • Third-party products
  • Components not manufactured by Danlec

3.2 Manufacturer warranties apply separately and exclusively, subject to their own terms and conditions.

3.3 Danlec is not responsible for manufacturer delays, recalls, or changes in specification.


4. Pre-Existing Conditions & Site Risks

4.1 Danlec shall not be liable for damage arising from:

  • Pre-existing defects
  • Structural weaknesses
  • Hidden services
  • Asbestos or hazardous materials
  • Non-compliant or unsafe existing installations

4.2 Any remedial works required due to pre-existing conditions shall be treated as a variation and charged accordingly.


5. Customer Responsibilities

5.1 The Customer is responsible for:

  • Providing accurate information
  • Ensuring access to the site
  • Maintaining safe working conditions

5.2 Danlec shall not be liable for delays, costs, or damage arising from inaccurate information or restricted access.


6. Force Majeure

6.1 Danlec shall not be liable for any failure or delay in performing obligations due to events beyond our reasonable control (โ€œForce Majeureโ€), including but not limited to:

  • Extreme weather conditions
  • Acts of God
  • Fire, flood, or natural disasters
  • War, terrorism, or civil unrest
  • Pandemics or public health emergencies
  • Government restrictions or regulatory changes
  • Supply chain disruption or material shortages
  • Power outages or utility failures

6.2 Where a Force Majeure event occurs:

  • Danlecโ€™s obligations shall be suspended for the duration of the event
  • Installation dates may be rescheduled
  • No compensation shall be payable for resulting delays

7. Mitigation & Resumption of Works

7.1 Danlec will take reasonable steps to mitigate the effects of a Force Majeure event where practicable.

7.2 Once the event has ended, works shall resume as soon as reasonably possible, subject to availability and scheduling.


8. Insurance

8.1 Danlec maintains appropriate public liability and employerโ€™s liability insurance in accordance with industry standards.

8.2 Insurance coverage does not extend beyond the limitations set out in these terms.


9. Severability

9.1 If any provision of these terms is found to be unlawful, invalid, or unenforceable, the remaining provisions shall continue in full force and effect.
